Selling Your IT Business with Experienced IT Business Brokers

Pacific Business Sales is a boutique business broker and tech M&A advisor firm with over 20 years of experience advising owners of B2B and technology-driven companies throughout California.

As specialized IT business brokers, we understand the operational, financial, and IT business valuation factors that impact the successful sale of an IT business.

We focus exclusively on industrial companies, allowing us to provide more accurate guidance and better outcomes for tech business owners planning an exit.

Our Industry Experience Means a Better Outcome for Sellers

Pacific Business Sales is led by Bill Grunau, who spent more than 20 years as a senior executive in the military electronics, aerospace, and semiconductor industries before founding the firm.

This hands-on experience informs how we approach each sale. As an experienced business intermediary, we understand how IT companies operate and what buyers expect to see when you decide to sell your business.

Find a Buyer Who Protects Your Legacy

Maximizing value is only part of the equation for many business owners. To them, their business operating successfully under new ownership also means the company culture and standards they worked hard to build are preserved, and their employees are protected.

As your IT business broker, it’s our mission to protect your legacy while positioning your company for long-term success. As such, we work closely with you to identify qualified buyers with the right experience who can not only complete the sale transaction but also operate the business responsibly.

Tax Strategy and Financing

In addition to transaction execution, Pacific Business Sales coordinates with tax strategy CPAs and financial advisors to help reduce or defer tax exposure associated with the sale of your tech business.

Our team also has extensive experience structuring transactions with SBA financing, which is used in the majority of our closed deals. We have never had an SBA loan declined.

IT Market Knowledge Across California

Our experience as IT business brokers selling IT companies across Orange County, Los Angeles, San Diego, the Inland Empire, and throughout California gives us deep insight into current market conditions, buyer behavior, IT business valuations, and transaction expectations for technology niches such as data analytics, software as a service (SaaS), cybersecurity, and more.

What You Can Expect When Selling Your IT Business With an Experienced IT Business Broker

Selling an IT company requires more than a standard brokerage approach. When owners come to us asking, “How do I sell my IT business?” they are usually grappling with the complexity of financials, intellectual property, government, long-term client contracts, and how to protect their employees, among other things.

Pacific Business Sales removes the anxiety and complexity from the transaction by following a structured and disciplined process. We manage the sale from preparation through closing as follows.

Confidentiality

Confidentiality is of the utmost importance to us as your IT business broker. We control how your company is presented from the first ad going forward, using general listings that don’t reveal your company’s name, client base, or even location.

We only release this information once a prospective buyer signs a Non-Disclosure Agreement (NDA) and completes our buyer profile, which includes important filtering information, such as their financial situation, experience, and credit score. This allows us to verify their creditworthiness and capability before any sensitive materials change hands.

Marketing Your Tech Business

Visibility alone does not generate leads. That’s why we emphasize the right positioning as your IT business broker. We write targeted headlines and informative ad copy that speak to buyers in the technology sector.

Your listing receives premium placement on major business-for-sale platforms, ensuring it appears prominently rather than getting buried among generic postings. We also actively refine our outreach to keep interest focused and relevant.

Email Marketing Blasts

We market directly to buyers who have already demonstrated interest in IT companies like yours.

This includes outreach to our internal database of more than 3,500 qualified buyers, along with targeted distribution through established buyer networks such as BizBuySell.

Buyer-Seller Meetings

We handle the first conversation with every prospective buyer. This initial meeting is essentially a pre-screening where we assess the buyer’s seriousness and operational understanding.

Buyers who pass this stage are then introduced to you by your IT business brokers to discuss the business. Many of the important business sale questions, such as your IT business valuation and projected earnings, are addressed earlier in the process. Still, buyers usually want to hear details directly from the owner.

Initial meetings take place virtually, followed by in-person meetings for buyers who choose to move forward. Once everything is aligned, our next step is to prepare an offer.

Your Company Prospectus – Confidential Information Memorandum (CIM)

If you’re asking, “What documents do I need to sell my IT business?” Your CIM is one of the most important. Interested parties will simply not move forward without clear and credible documentation.

Our experience as IT business brokers enables us to prepare a detailed CIM that presents your company as a valuable acquisition opportunity. Remember, buyers receive the CIM only after completing our qualification process and signing an NDA.

What Your CIM Includes

Each CIM is customized to your business model and built to support your IT business valuation. It typically includes:

  • An overview of your services, products, and recurring revenue drivers
  • Company background and operational history
  • Recast financial statements
  • Organizational structure and key staff roles (names redacted)
  • Equipment, systems, and infrastructure summary
  • SBA financing structure
  • SBA lender pre-approval documentation, when applicable

Preparing and Structuring the Offer

We prepare offers using California Association of Business Brokers (CABB)-approved Asset Purchase or Stock Purchase Agreements. As your IT business brokers, we advise you on a structure based on tax exposure, contracts, licensing, and buyer financing.

Keep in mind that an asset sale is a transaction type, not a liquidation. Read our breakdown of stock vs asset sales to learn more.

Asset Sale vs. Stock Sale Considerations

A stock sale may be required in some technology transactions, particularly those involving government contracts, long-term client agreements, or licensing.

This is possible because the buyer acquires the corporate entity in a stock transaction, allowing the Employer Identification Number (EIN) and key contracts to remain intact.

We work with the buyer to shape the offer before presenting it to you for review. We’ll give you a clear explanation of the terms, risks, and options, as well as prepare a counteroffer if necessary.

We never pressure you to accept an unsatisfactory deal.

Due Diligence

This is a critical phase because it often determines whether a transaction closes on schedule or at all. This is where buyers and their advisors review your company’s tax returns, profit and loss statements, bank records, and other supporting documentation to confirm earnings and whether it is a well-run and stable business.

The buyer also evaluates systems, contracts, customer concentration, and management structure.

Managing the Due Diligence Process

It is our role as your IT business brokers to help you prepare for due diligence. We also coordinate the entire process to keep it organized and on schedule.

Escrow is opened, and the transaction moves toward closing once the buyer is finished doing their due diligence.

Our team understands the financial and operational realities of IT companies, including the unique revenue models, work in process (WIP), and accounts receivable (A/R). We know how these factors impact IT business valuations and lender approval.

SBA Financing

SBA-backed loans are used in more than 90% of our closings at Pacific Business Sales, including transactions involving software development, IT services, and managed service providers (MSPs).

As experienced IT business brokers, we work exclusively with SBA Preferred Lender Program (PLP) banks that have financed many IT company acquisitions with our firm. We are familiar with their underwriting rules and documentation requirements, which helps prevent delays and loan denial.

Must I Use SBA Financing to Sell My IT Business?

Securing SBA financing usually means more certainty and more cash at closing. In many transactions, the loans fund up to 90% of the purchase price, and the buyer makes a 10% down payment. Sellers using SBA financing usually don’t have to finance the sale with a Seller Note.

However, should a Seller Note be required, often around 10%, you would receive 90% cash at closing.

SBA financing can also cover the buyer’s acquisition of A/R. That means you are paid in cash for A/R at closing, rather than waiting for collections after the sale. This structure is a significant advantage for owners who want a clean exit.

Free Market Value Analysis

Pacific Business Sales offers a free comprehensive market value analysis of your business using the same methodology and professional valuation software relied on by SBA lenders and valuation analysts.

We have excellent comparable sales data for a wide range of IT businesses directly from the SBA closed transaction database. This sales data allows us to determine an accurate IT business valuation that aligns with lender expectations. Pacific Business Sales has never had an SBA loan declined due to valuation issues.

IT Business Buyer Screening Qualifications

IT businesses attract a high volume of interest, including inquiries from buyers who lack the financial strength or operational background to complete a transaction. As disciplined IT business brokers, we screen every prospective buyer before they engage with you.

Buyers without industry understanding may submit offers, but in our experience, they rarely close.

Pacific Business Sales represents IT business owners across Orange County and throughout California. We look for buyers who are not only capable of closing but also positioned to run your business responsibly and successfully.

*We reserve the right to refuse engagements that do not align with our standards or seller objectives.
